Causes For Termination

1)      You have explicitly broken the policy as described in this agreement (breach of Agreement). If you fail to remedy a breach of this Agreement or fail to provide evidence satisfactory to A-wedding Day that no breach has occurred,

2)      You are found harming the reputation of A-wedding day. You are not responding reasonably promptly to A-wedding day attempts to communicate with you.

3)      You are found to be promoting or linking to sites that go against what A-wedding Day represents. A Wedding Day tolerates: No Cracking, no hacking, no sexually explicit material, no violence, no illegal activities, no discrimination, no libel and no defamatory abuse. A-Wedding day will not tolerate or offer any illegal good or service.

4)      You are found to engage in Unsolicited Commercial Email, also know as SPAM.

5)      You infringe on someone's intellectual property or copyrights.

6)      You ignore warnings to stop any activities we deem negligent, inappropriate, or harmful to A-wedding Day and / or other Affiliates.

7)      If your Affiliate status is terminated, you'll be notified via email.

8)      Any affiliate terminated for any of the above reasons will not receive any commissions due, including commissions earned by sub-affiliates.            

          Resolution of Disputes

1)      In the event of a dispute or disagreement, contact us or we'll contact you as needed. If we keep our lines of communications open, we can resolve any disagreement, dispute or concern swiftly and amicably.            

2)      If you have a concern or complaint, please contact us immediately.            

3)      If we have any concerns, we'll contact you.            

     Copyright & Intellectual Property

1)      A-wedding Day will vigorously protect any and all of our title, ownership, and intellectual property rights. All such rights shall remain with A-wedding Day and are protected by International copyright laws and treaties.

2)      This agreement gives you no rights to any content on the A-wedding Day web site unless we grant you permission in writing. This permission will be for specific use only.

3)      Your web site is your property and you own it. A-wedding Day claims no right to ownership of any of your web site or its content.

4)      A-wedding Day grants you the right to use the A-wedding Day name only in conjunction with approved marketing materials.

5)      You are responsible to ensure that your advertising obeys all applicable copyright and trademark laws. You may not infringe on anyone's copyrights.

6)      A-wedding Day is not responsible and is to be held harmless for Affiliate's misuse of any copyrighted material.

7)      A-wedding Day will provide you with reasonable support.

     Limits To Liability

1)      A-wedding Day shall have no liability for any indirect, incidental or consequential damages, or any loss of revenue arising under or with respect to this agreement.

2)      We cannot be held liable, for any reason, due to failures or outages of our web site, or of the Internet in general.

3)      A-wedding Day shall have no liability for any indirect, incidental or consequential damages, or any loss of revenue arising under or with respect to the A-wedding Day Affiliate Program, even  if A-wedding Day has been advised of the possibility of such damages.

4)      The aggregate liability arising with respect to this Agreement shall in no event exceed $100.           

     Policy on SPAM (Unsolicited Commercial Email)

1)      We have a very strict standard of conduct and will not tolerate any unsolicited and / or unethical means of representation connected in any way, even remotely with A-wedding Day.

2)      We don't like SPAM, we don't do it, and we won't condone it. Any Affiliate engaged in SPAM tactics while associated in any way with A-wedding Day will be instantly dismissed. Period.

3)      Affiliates may not blatantly advertise or reference to A-wedding Day within Newsgroups, mail lists, Bulletin boards, etc....  that do not allow advertising.

4)      Any damages that result from your negligence will result in severe actions being taken by A-wedding Day, for compensation. Your Affiliate status will be terminated and you'll lose all rights for any commissions due to you, whether generated by you and / or your sub-affiliates.

          Note.  Responsible opt-in permission marketing on and off the internet is encouraged.

     General

1)      As an Affiliate you are an independent contractor, and nothing in this Agreement shall create any form of partnership, joint venture, franchise, agency, sales representative or employer employee relationship between you and A-wedding Day.

2)      You are not an employee of A-wedding Day! You will not be treated as an employee with respect to the Internal Revenue Code, Social Security Act, Federal Unemployment Acts, or any other federal, state, or local statute, ordinance, rule, or regulation of any country whatsoever.

3)      You will have no authority to make or accept any offers or representations on behalf of A-wedding Day.

4)      You will not make any statements, whether on your site or otherwise, that may contradict anything in this section.

5)      You may not assign this Agreement, by operation of law or otherwise, without the prior expressed written permission of A-wedding Day.

6)      You are bound by a covenant of good faith and fair dealing under which you shall not deny A-wedding day the benefit of its Agreements and under which You have an affirmative duty to cooperate to assist us in achieving the benefit of this Affiliation.

7)      This agreement shall stay in effect for as along as you participate in the A-wedding Day affiliate program.

8)      Either you or A-wedding Day have the right to terminate this agreement at any time in writing. You agree that should that occurs, payment will be withheld until correct amount due is determined.

9)      A-wedding Day reserves the right to make changes to this affiliate agreement as and when necessary. Affiliates will be notified 30 days in advance via email.

10)      Your Links must be placed such that it is unlikely that they will mislead the Visitor   

11)      You must keep us informed! Notify us immediately when you have any change in your personal information, including but not limited to name of individual or name of business, Web site, e-mail and postal addresses, telephone number,  fax  number, or any information you feel A-wedding Day should have.

     Responsibility for Your Site

     You will be solely responsible for the development, operation, and maintenance of your site and for all materials that appear on your site. This includes ensuring that materials posted on your site do not violate or infringe upon the rights of  any third party (including, for example, copyrights, trademarks, privacy, or other personal or proprietary rights) ensuring that materials posted on your site are not libelous or otherwise illegal

     We disclaim all liability for these matters. Further, you will indemnify and hold us harmless from all claims, damages, and expenses (including, without limitation, attorneys' fees) relating to the development, operation, maintenance, and contents of your site.

     Term of the Agreement

     The term of this Agreement will begin upon our acceptance of your Affiliate application and will end when terminated by either party.

     Either you or we may terminate this Agreement at any time, with or without cause, by giving the other party a written notice of termination.

     If this Agreement is terminated for any reason, you will immediately cease use of, and remove from your site, all links to our advertising pages, and all A-wedding Day trademarks and logos, and all other materials we provided you with in connection this Program. You are eligible to earn referral fees only on sales you generate during the term, and fees earned through the date of termination will remain payable unless canceled. This Agreement shall be binding on and shall inure to the benefit of the parties and their respective heirs, legal representatives, successors and permitted assigns. This Agreement is governed by the laws of California.

     Modification

     We may modify any of the terms and conditions contained in this Agreement, at any time at our sole discretion.

     We may make modification such as changes in the scope of commissions, fee schedules, payment procedures, recruiting and Program rules.

     You'll be notified and have the right to accept them or terminate this agreement.

     Your continued participation in the program following our posting of a change notice, or new agreement on our site, will indicate you agree with the then-current terms and conditions.

     Relationship of parties

     You and are not an employee of A-wedding Day. You are an independent contractor, and nothing contained in this Agreement can be construed otherwise. Nothing in this agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between you and A-wedding Day. You will have no authority to make or accept any offers or representations on behalf of A-wedding Day. You will not make any statement, whether on your site or otherwise, that may contradict anything in this section.

Limitation of liability

     You agree that the provisions of this section are an essential element of this agreement.

     A-wedding day will not be liable for indirect, exemplary, special, incidental, or punitive damages, including, but not limited to, special or consequential damages (or any loss of goodwill, profits, business interruption, loss of programs or other data; revenue, or data) arising in connection with this agreement or the program, even if we have been advised of the possibility of such damages. Further, our aggregate liability arising with respect to this Agreement and the Program will not exceed the total referral fees paid or payable to you under this Agreement.

     Indemnification.

     You shall defend, indemnify and hold A-wedding Day harmless against all claims, suits, costs, damages and judgments incurred, claimed or sustained by third parties.   

     Disclaimers

     We make no express or implied warranties or representations with respect to the Program or any advertisements sold through the Program. In addition, we make no representation that the operation of our site will be uninterrupted or error-free. Therefore, we will not be liable for the consequences of any interruptions or errors.

     All information you provide us with, will be kept by us in the strictest confidence it will not be posted or published.

     It would not be forwarded to an affiliate or third party except at your written request.

     If at any time you wish to end your affiliation and be dropped from our mailing list just email us with "opt out of mailing list" as the subject.

     You would then be dropped upon receipt without further contact except to acknowledge receipt.

     As our main purpose is to provide opportunity and to help in starting or expanding a wedding service business on and off the internet this site is dedicated to offering you the best affiliate programs available.

     Our affiliates will be under constant review and if they don't respect the privacy of others they will not be kept as affiliates.

     "Affiliate"

     An A-wedding Day "Affiliate" is a person or organization that has entered into an Affiliate Agreement and is paid commission for any sale they generate.

     "Affiliate Agreement"

     "Affiliate Agreement" means the A-wedding day Affiliate Terms and Conditions Agreement

     "Link"

     "Link" means an Internet connection between two Web sites. Typically, when a Visitor Clickson a Link, the Visitor activates an HTTP hyperlink on an Affiliate's Web site that causes a visit A-wedding Day Web site to be served to the Visitor's browser. The Link may be in the form of text, a button, a banner or other format.

     "Commission"

     "Commission"means the financial compensation to you for a sale.

     "Your Link" means an Internet connection from Your Web site to a A-wedding day. "Your Link" includes your identifying personal code.
